  • Short description: Commercial law is a branch of private law encompassing a set of legal norms relating to legal relations involving entrepreneurs. Commercial law is not a uniform field but rather a complex system of various norms whose common denominator is the subjective aspect – their connection to entrepreneurial activity. The subject of the tutorials is exclusively the issues of company law.   • Short description: The lectures present the historical foundations of European legal identity from the Roman Empire to the European Union. In view of the multiple character of this identity the stress lies on the distinction between the common law (British Isles) and the civil law countries (the continent). Within the latter area the gradually disappearing distinction between Eastern and Western Europe is dealt with.
  • Form of assessment: The classes combine the traditional lecture method with elements of students’ individual work. Each participant is required to prepare a presentation on a topic of their choice from a list of 15 topics provided in the “full description.” If it is not possible to deliver the presentation, the student submits a written essay on the chosen topic, which is subject to evaluation. – (translated internally)

  • Short description: The course is designed as an introduction to common law. The very first freedoms of the First Amendment to the US Constitutions give only an occasion to discuss the jurisprudence and methods of the US Supreme Court.
  • Form of assessment: Classes held once a week for 90 minutes are skills oriented. Therefore presence (three absences allowed only) and active participation in class discussion are essential to complete the course successfully, although a written exam, i.e. a short essay, will be necessary to get a final grade.

The concept of international and EU company law: the rules for determining the applicable law for companies (conflict-of-law rules for companies), the principles governing companies’ exercise of the freedom of establishment within the European Union. The key substantive company law and corporate governance principles: common to EU Member States, harmonized through directives and addressed in recommendations, facilitate legal transactions across the EU. The concept of M&As transactions and the main forms of equity investments in companies: methodology of corporate reorganizations, transactions involving shares or stocks (share deals), including capital restructuring and takeovers of public companies, transactions involving the sale of a business (asset deals).

Law is usually perceived as a set of imperatives and prohibitions that are not subject to challenge, but in fact the law is a dynamic phenomenon, and changing views of what the legal order is, what justifies it and what obligations lawyers have are usually quickly reflected in the practice of law making and application. One can learn about the legal theory and legal philosophy by examining key disputes that have been waged over the years and sometimes centuries.   • Short description: The course introduces key issues of legal theory (such as sources of law, legal norms, the legal system, validity of law, legal language, interpretation of law, legal argumentation) in the context of the main philosophical-legal schools of thought from the 19th to 21st century (natural law, original and refined positivism, legal realism, legal hermeneutics, argumentation theories, postmodernism). It will also explain the underlying ideas of various legal theories and institutions (e.g. constitutional review). Emphasis will be placed on the multiplicity of contemporary positions regarding the nature of law, methods of understanding and interpreting it, criteria for its validity, and principles for deciding “hard cases” where traditional legal syllogism is insufficient.

  • Short description: The purpose of the seminar is to encourage students to make an in-depth research on EU constitutional law issues and to discuss their papers with a group of internationally renowned experts. The course has a form of a number of preparatory meetings (happening always on Mondays, at 8 pm) culminating in two-days block-seminar (crash course) during which papers are presented and thoroughly discussed. This year seminar takes place under honorary patronage of Professor Adam Bodnar, Minister of Justice, within the Polish EU Presidency Programme The final seminar will take place on 11/12 May 2026.
